Job Description
We are looking for an experienced Technology TSA / Carve-Out Lead to oversee the technology work associated with a large, complex acquisition and carve-out.
This individual will own the technology-focused Transition Services Agreement (TSA), serving as the central point of coordination across the acquiring organization, the carve-out entity, technology teams, business stakeholders, finance, legal, and leadership.
The goal is simple: make sure all parties deliver against the TSA, identify risks before they impact the deal, and successfully transition the carve-out entity off the existing technology environment within the required timelines.
This is not a traditional Project Manager role. We need someone comfortable operating in ambiguity, challenging delivery teams, managing difficult stakeholders, and building the governance and processes necessary to manage a TSA in a complex M&A environment.
Key Responsibilities
Own and oversee the technology portion of the TSA from kickoff through exit. Translate TSA requirements into clear technology deliverables, milestones, dependencies, owners, and timelines. Build the TSA execution plan and governance structure where processes do not currently exist. Serve as the primary technology liaison between the acquiring organization and carve-out entity. Track whether the carve-out organization is successfully building and migrating to its independent technology environment. Coordinate across multiple technology teams and platforms to ensure TSA commitments are achievable. Pressure-test individual workstream plans against overall TSA deadlines and requirements. Identify dependencies, resource constraints, capacity issues, and delivery gaps across technology teams. Establish regular reporting around TSA progress, milestones, risks, financial impact, and escalations. Proactively identify areas at risk of requiring TSA extensions, change requests, or additional costs. Develop mitigation plans, workarounds, parallel delivery strategies, or fast-follow approaches when necessary. Partner closely with M&A leadership, IT, business stakeholders, finance, legal, and other supporting functions. Manage stakeholder resistance and drive accountability across teams that may have competing priorities. Facilitate workshops to establish plans, responsibilities, timelines, and stakeholder alignment. Help develop a repeatable Technology TSA playbook for future acquisitions and carve-outs. Ensure technology transition activities are appropriately documented and able to withstand compliance or audit requirements.
