Original job description
General Summary The Contracts Professional reviews, revises, and negotiates the legal terms and conditions of customer contracts on behalf of TEAM, including Master Service Agreements, Subcontract Agreements, Purchase Orders, Customer Non-Disclosure Agreements, and related amendments. The position coordinates with internal operational and commercial managers to understand the proposed services and contractual risks and conducts negotiation calls with customers and their representatives to resolve legal terms and conditions. The role works within TEAM’s contracting guidelines, with escalation to Legal Department counsel and operations as appropriate. Responsibility is limited to legal terms and conditions; pricing, rates, scope of work, and other commercial terms remain the responsibility of the operational and commercial managers.
Essential Job Functions
- Review, revise, and negotiate the legal terms and conditions of customer Master Service Agreements, Subcontract Agreements, Purchase Orders, Customer Non-Disclosure Agreements, and related amendments and supporting contract documents.
- Identify and assess contractual legal risks, including indemnification, limitations of liability, insurance, warranties, termination, intellectual property; prepare clear redlines focusing on more important issues and propose alternative language consistent with TEAM’s contracting guidelines.
- Coordinate with internal operational and commercial managers to understand the proposed services, operating requirements, and business context; explain legal risks and proposed contract revisions in practical terms and obtain input needed to support negotiations.
- Schedule, prepare for, and conduct customer negotiation calls and related correspondence concerning legal terms and conditions, coordinating participation by operational and commercial managers and Legal Department counsel as needed.
- Maintain a clear division of responsibility between legal and commercial review. Refer pricing, rates, scope of work, and other commercial terms to the responsible operational and commercial managers for review, negotiation, and approval; identify related legal implications without assuming responsibility for those commercial decisions.
- Escalate material legal risks, nonstandard provisions, and issues outside delegated authority to Legal Department counsel and the appropriate internal decision-makers; document proposed exceptions and obtain required approvals before finalizing contract terms.
- Manage assigned contract reviews through resolution, track open issues and negotiation status, maintain accurate contract files and version control, and communicate priorities, outstanding approvals, and timing to internal stakeholders.
- Confirm that final contract documents accurately reflect negotiated legal terms and approved exceptions, coordinate completion of required reviews and routing for authorized signature, and perform other related customer-contract duties as assigned by the Legal Department.
Job Qualifications
- High school diploma required; college degree preferred.
- Minimum of 3 years’ experience as a Contracts Administrator, Contracts Professional, Contracts Manager or similar role, required. Experience must include substantive review, revision, and negotiation of contract legal terms and conditions; experience with customer agreements and MSAs preferred.

- Strong analytical, drafting, organizational, and attention-to-detail skills, with the ability to manage multiple contract reviews, prioritize competing deadlines, and drive negotiations to completion.
- Strong written and verbal communication and negotiation skills, including the ability to conduct customer negotiation calls, explain contractual issues clearly, and collaborate effectively with internal operational and commercial managers.
- Proficiency with Microsoft Word, including tracked changes and document comparison, and the ability to learn and use contract management systems and other tools supporting contract review, version control, and record retention.
- Ability to work independently and efficiently following initial training, exercise sound judgment within delegated authority, and recognize when legal issues or proposed exceptions require escalation to Legal Department counsel.
- Ability to distinguish legal terms and conditions from commercial terms, respect internal approval responsibilities, and handle confidential customer and company information with discretion.
