Original job description

We are looking for an experienced Corporate Paralegal to support a growing international business from Dallas, Texas. In this role, you will partner closely with legal and cross-functional teams to manage commercial agreements, maintain strong contract processes, and help uphold compliance standards across multiple markets. This position offers broad in-house exposure and suits someone who is comfortable balancing detailed legal documentation with practical business support.

Responsibilities:

  • Draft and update a range of commercial agreements, including confidentiality agreements, master service agreements, statements of work, order documents, and contract amendments using approved company forms.
  • Examine third-party contract language, mark up revisions, and organize key legal and business issues for counsel review and negotiation.
  • Prepare changes to supplier, manufacturing, distribution, and reseller agreements to reflect revised terms such as pricing, product scope, territory coverage, and contract duration.
  • Translate complex contract provisions into clear summaries for internal stakeholders, highlighting important items such as renewal terms, purchasing commitments, termination rights, exclusivity, and liability allocation.
  • Oversee day-to-day administration of the contract lifecycle management system, including workflow coordination, template maintenance, clause organization, repository accuracy, metadata tracking, and user assistance.
  • Coordinate internal approvals, manage signature routing, and ensure fully executed agreements are stored accurately with complete records and searchable data.
  • Monitor critical contract dates and obligations, including renewals, notice periods, pricing review windows, exclusivity timelines, and performance commitments, then notify business owners in advance.
  • Support compliance activities by conducting restricted-party screenings, assisting with export control and sanctions reviews, and maintaining documentation for due diligence, certifications, permits, and regulatory records.
  • Assist with data privacy and ethics-related processes, including data processing documentation, international transfer terms, policy acknowledgment tracking, training records, audit support, and performance-related notice preparation for legal review.
  • 5+ years of paralegal experience with significant exposure to commercial contracts and in-house legal operations.
  • Demonstrated ability to draft, revise, and manage agreements such as NDAs, vendor contracts, supply arrangements, service agreements, and amendments.
  • Working knowledge of contract lifecycle management platforms and strong proficiency in maintaining templates, approval workflows, repositories, and contract metadata.
  • Familiarity with corporate compliance matters, including restricted-party screening, anti-corruption due diligence, export controls, sanctions, and recordkeeping obligations.
  • Experience supporting legal review through redlining, issue spotting, contract term analysis, and preparation of concise summaries for business teams.
  • Strong organizational skills with the ability to track deadlines, contractual obligations, renewals, and compliance requirements across multiple matters.
  • Clear written and verbal communication skills, with the ability to collaborate effectively across departments and with international contacts in different time zones.
