Original job description

We are looking for an experienced Corporate Paralegal to support a fast-paced legal and compliance function in Tampa, Florida. This Long-term Contract position will play a central role in maintaining corporate records, coordinating compliance activities across multiple entities, and assisting with contracts, litigation-related requests, and strategic transactions. The role offers direct collaboration with legal leadership and requires strong judgment, precision, and the ability to manage competing priorities effectively.

Responsibilities:

  • Oversee corporate maintenance and compliance activities for subsidiaries and affiliated entities, ensuring records, filings, and governance documentation remain current and accurate.
  • Prepare, review, and administer routine business agreements such as confidentiality agreements, vendor arrangements, and service contracts while keeping contract records organized and accessible.
  • Coordinate the renewal and upkeep of intellectual property assets, including trademarks, copyrights, and domain-related registrations.
  • Handle subpoenas, document requests, and other information inquiries by gathering materials, tracking deadlines, and supporting timely responses.
  • Assist with mergers, acquisitions, and other strategic initiatives through confidentiality documentation, due diligence support, and virtual data room coordination.
  • Manage legal billing processes by reviewing invoices, monitoring outside counsel spend, maintaining cost records, and partnering with finance on accrual-related matters.
  • Support entity formation, corporate governance activities, regulatory submissions, and minute book maintenance across the organization.
  • Conduct legal and corporate research, contribute to real estate and corporate finance matters, and assist with additional department projects as needed.
  • At least 5 years of experience in a corporate paralegal capacity, ideally within a mid-sized corporate environment.
  • Bachelor’s degree or an equivalent combination of education and relevant experience.
  • Practical experience working with entity management platforms and electronic signature tools.
  • Strong knowledge of corporate governance, entity maintenance, compliance practices, and regulatory filing requirements.
  • Demonstrated ability to manage contract administration, legal documentation, and records with a high degree of accuracy.
  • Excellent organizational skills with the ability to prioritize multiple assignments and adapt quickly to changing deadlines.
  • Strong attention to detail, sound judgment, and the ability to work independently with limited supervision.
