Original job description
We are looking for an experienced Attorney/Lawyer to support a dynamic legal practice serving technology-focused clients in Cambridge, Massachusetts. This Long-term Contract position is ideal for a senior-level attorney who combines strong commercial technology transactions experience with practical knowledge of early-stage corporate matters. The role offers the opportunity to advise on sophisticated, high-impact legal issues in a flexible environment while partnering closely with innovative businesses.
Responsibilities:
- Advise clients on a broad range of technology-focused commercial agreements, including licensing arrangements, privacy terms, data processing agreements, and other vendor or customer-facing contracts.
- Draft, review, and negotiate legal documents that protect intellectual property rights and address operational risk without involving patent prosecution matters.
- Support emerging companies with foundational corporate work, such as Delaware entity formation, governance documentation, equity-related questions, operating agreements, and early-stage financing instruments.
- Prepare and analyze key startup transaction documents, including convertible instruments, organizational records, and stock purchase agreements.
- Counsel clients on legal issues that arise at the intersection of business, product, and technology, translating complex concepts into practical guidance for stakeholders.
- Collaborate with internal and external partners to identify when matters should transition to larger firm support as financing activity or transaction complexity increases.
- Manage multiple client matters independently while maintaining high standards of responsiveness, judgment, and legal accuracy.
- Licensed attorney in good standing with 5-7 years of legal experience.
- Demonstrated background in technology transactions within a law firm environment and in-house or closely aligned business setting, such as a technology company.
- Strong working knowledge of commercial contracts involving software, licensing, privacy, and data use.
- Familiarity with basic intellectual property concepts and practical counseling related to technology-driven businesses.
- Experience handling early-stage corporate legal matters, including entity formation, equity topics, and startup financing documentation.
- Ability to draft, negotiate, and explain legal terms clearly for both legal and non-legal audiences.
- Sound judgment, professionalism, and the ability to thrive in a flexible practice supporting unique and fast-moving client matters.
