Robert Half is looking for an experienced Contracts Attorney to provide hands-on contract review support. This is a Long-term Contract position focused on reviewing, assessing, and refining vendor agreements, with a strong emphasis on software and SaaS-related contracts. The role will help manage a steady flow of new agreements and renewals by delivering practical legal guidance, concise revisions, and clear risk-based recommendations that align with business priorities.
Responsibilities:
- Conduct initial legal assessments of commercial agreements submitted for review, with attention to vendor-facing terms and business impact.
- Analyze SaaS, software, supplier, and other service contracts, preparing targeted edits that address material legal and commercial concerns.
- Evaluate contractual exposure and determine which provisions require negotiation versus which items may be deprioritized based on context.
- Produce streamlined markups and recommendations that enable internal counsel to complete final review efficiently.
- Highlight key legal issues for stakeholders in a direct, organized manner, separating urgent concerns from lower-priority suggestions.
- Support both newly proposed vendor arrangements and renewal matters during an extended period of contracting activity.
- Manage review turnaround times effectively and communicate early when deadlines may be affected by competing priorities.
- Operate with limited oversight while adapting quickly to established legal review practices and team expectations.
- Active licensure as an Attorney, with experience reviewing and negotiating commercial contracts.
- Demonstrated background handling vendor, supplier, and other legal agreements in a business environment.
- Practical experience with SaaS and software contracts, including identifying common legal and operational risks.
- Ability to apply sound judgment when prioritizing negotiation points based on risk, leverage, and commercial realities.
- Strong drafting and redlining skills, with an emphasis on clear, actionable revisions rather than excessive edits.
- Comfortable working independently in a part-time capacity while remaining responsive and dependable.
- Effective written and verbal communication skills for explaining contract issues and recommended actions succinctly.
- 5+ years of experience reviewing contracts.
