Job Description:

The Contracts Manager handles the day-to-day administration of government and commercial contracts, from proposal, to review and negotiation and through closeout. This person works directly with program teams, company leaders, customers, and vendors to explain contract requirements, keep records accurate, address risks, and prevent funding or compliance issues. The role requires sound judgment, clear communication, careful follow-through, and the ability to manage several contracts at once.

The Contracts Manager shall possess the following capabilities:

  • Administer, negotiate, modify, renew, and close out DoD, other federal, and commercial contracts, including cost-reimbursement, firm-fixed-price, time-and-materials, and IDIQ agreements. Experience with alternative contractual arrangement types is a plus.
  • Experience with Software License Agreements and Intellectual Property rights is desired.
  • Prepare and manage NDAs, teaming agreements, consulting agreements, joint venture agreements, subcontracts, and other contract documents.
  • When needed, review and execute 1099 consulting agreements and confirm that supporting documents - including W-9s, statements of work, schedules, and required legal forms - are complete.
  • Review contract terms, special provisions, and changes; explain their practical impact to program teams and company leaders.
  • Track contract status, deliverables, funding, modifications, and compliance requirements, and raise issues early enough for the team to act.
  • Manage multiple prime contracts and subcontracts at the same time, including as needed requests.
  • Work with program managers, legal counsel, finance, company leaders, customers, and vendors to answer contract questions and resolve issues promptly.
  • Identify contract and compliance risks, describe the available options, and recommend practical next steps.
  • Maintain complete, organized contract files and prepare them for DCAA reviews and other audits.
  • Support compliance work involving ITAR, conflicts of interest, small-business reporting, and internal contract reviews.
  • Help write and improve practical Contracts Department policies, procedures, templates, and recordkeeping practices. CPSR experience is helpful.
  • Support contract reviews, negotiations, document transfer, customer introductions, and compliance work during acquisitions.
  • Support proposal preparation by reviewing contract requirements and coordinating needed information with government and commercial customers.
  • Research unfamiliar contract questions and stay current on regulations and contracting practices relevant to the work.
  • Take on related contracts work as business needs change.

Qualifications:

  • A bachelor’s degree in business, law, management, or a related field is preferred.
  • At least five (5) years of DoD government contract administration experience.
  • Working knowledge of the FAR and DFARS, with the ability to read, interpret, and apply federal acquisition policies, regulations, and directives.
  • Able to manage competing deadlines, maintain accurate records, and follow details through to completion with limited day-to-day direction.
  • Able to explain contract requirements clearly in writing and conversation to people who do not work in contracts.
  • Able to work directly and constructively with program teams, leaders, customers, vendors, and legal and finance partners.
  • CPSR preparation, alternative contract arrangements, acquisitions, consulting agreements, and proposal support. Position requires active Security Clearance with appropriate Polygraph Preferred
