Original job description

We explore and discover the limitless possibilities of energy so we can all progress. We believe in the power of talent to shape the future. That’s why we’re looking for curious, bold individuals who are eager to grow and create new ways forward - people who want to join us in building a more sustainable, innovative, and inclusive world. We strongly believe that diversity fuels creativity and innovation. That’s why we welcome professionals who are ready to grow, learn, and bring their perspective to the energy challenges of today and tomorrow. Here, you’ll find a place to grow and unlock your full potential.

Company Profile:

Repsol is a globally integrated multi-energy company headquartered in Madrid, Spain. With a team of 25,000 employees across more than 20 countries, we proudly serve 24 million customers worldwide. Our diversified renewable energy portfolio totals nearly 3,700 MW of installed capacity, with a strong presence in Spain, the United States, and Chile.

As part of our commitment to a more sustainable future, low-emissions generation is at the core of our strategy to achieve net-zero emissions by 2050. Repsol Renewables North America (RRSNA) plays a key role in this vision, with aims to increase generation capacity to between 3,000 MW and 4,000 MW by 2027.

We are driven by innovation, collaboration, and purpose. Repsol offers a comprehensive Employee Value Proposition (EVP), including a holistic Total Rewards program that supports the wellbeing, growth, and contributions of our people. Join us in shaping the future of energy.

Job Summary Repsol Renewables North America is looking for a Manager of Structured Finance to raise capital for utility-scale wind, solar and energy storage projects and portfolios. The structured finance team leads the origination, structuring, negotiation and execution of third-party financings, including tax equity partnerships, tax credit transfers, construction and term debt, and preferred equity financings. With oversight from the Director of Structured Finance and the CFO, this role plays a significant part in each financing by building and owning the transaction model, coordinating due diligence across internal functions and external advisors, and serving as a day-to-day point of contact for investors, lenders and their counsel. The team secures competitive financing for our projects and supports Repsol’s goal of increasing renewable power generation capacity. The position is based in Downtown Houston with a hybrid work model of 3 days in the office and 2 days from home.

Key Responsibilities:

Support origination and lead the day-to-day structuring, negotiation and execution of tax equity and tax credit transfer transactions, construction and term debt, back leverage, letter of credit facilities and preferred equity transactions, from term sheet through financial close and funding, with oversight from the Director and CFO.
Serve as a day-to-day point of contact for tax equity investors, tax credit buyers, lenders and their counsel throughout transaction execution. Negotiate term sheets and key commercial terms, and support the negotiation of transaction documents (LLCAs, equity capital contribution agreements, credit agreements, tax credit purchase agreements and ancillary documents).
Build, own and maintain financial models for financing transactions and internal analysis. Run sensitivities and scenario analyses, reconcile with investor and lender models, and manage third-party model audits. Evaluate structuring options and recommend financing alternatives based on cost of capital, risk allocation and impact on project returns.
Prepare marketing materials (teasers, CIMs, lender and investor presentations) and support outreach to and selection of financing partners, including evaluating and comparing term sheets.
Lead and coordinate due diligence processes across internal functions (development, engineering, construction, operations and asset management, legal, tax, accounting), ensuring timely and accurate responses to investors and lenders. Manage external advisors such as financial advisors, legal counsel, independent engineers, and insurance, market and appraisal consultants against scope, budget and schedule, while managing project data rooms, diligence trackers, and closing and conditions precedent checklists.
Support the investment approval process by providing financing and structuring guidance to M&A, tax and accounting teams, and preparing financing approval materials for internal governance, including Repsol corporate.
Develop and maintain strong relationships across internal functions to ensure consistent, accurate information is provided to lenders and investors.
Support post-closing administration, including funding conditions, investor and lender reporting, covenant compliance, and amendments, waivers and consents, working with asset management, accounting and FP&A.
Review project agreements (PPAs, EPC, interconnection, O&M, leases, insurance, etc.) to ensure bankability and compatibility with financing requirements; provide relevant feedback to development and commercial teams early in the process.
Maintain relationships with financial institutions including banks, tax equity investors, tax credit buyers, export credit agencies, institutional investors, private equity/infrastructure funds, IPPs and utilities.
Monitor market terms, industry trends, competitor activities, federal tax credit rules, and emerging financing structures in renewable energy to inform decision-making and optimize financing strategies.
Mentor analysts and associates and review their work, including models, diligence deliverables and presentations.

Experience Requirements:

Must be eligible to work for any U.S. employer without the need for sponsorship now or in the future.
5+ years of experience in project finance, structured finance, M&A, investment banking, or investment analysis. Experience in the U.S. renewable energy and/or power generation industry preferred.
Advanced financial modeling skills, with demonstrated experience building and reviewing complex project finance models.
Direct, hands-on experience executing debt financings and/or tax credit financings for power generation projects in the United States, with multiple transactions taken through financial close.
Working knowledge of key financing documents (LLCAs, credit agreements, tax credit purchase agreements) and of federal tax credit requirements that affect renewable energy financings.
Demonstrated ability to independently lead workstreams and manage complex, multi-party transactions and diligence processes, prioritize tasks, meet deadlines and work effectively in a fast-paced environment.
Strong written and verbal communication skills, with demonstrated ability to work effectively with senior leadership, counterparties, business partners and consultants, identify issues and make clear recommendations to senior team members.
Strong interpersonal skills and ability to coordinate across functions in a team-based environment.
Advanced Excel and PowerPoint skills.

Education:

BA/BS degree required; finance, economics or accounting focus preferred.
MBA, CFA, CPA and/or equivalent certifications preferred.

Repsol is an Equal Opportunity Employer M/F/Disability/Veteran
