Position Overview

We’re looking for an experienced, results-oriented Senior Contracts Manager to join our Legal & Compliance team. In this role, you’ll manage the administration of complex, high-value, and strategic agreements, support our attorneys throughout the contract review and negotiation process, and lead improvements to how we manage contracts across InvoiceCloud. Your work will help protect the business, keep deals moving, and make sure our contract governance supports our growth.

The ideal candidate is a trusted advisor and proactive partner who brings sound judgment to complex contract matters, knows when to escalate issues to our attorneys, and enjoys building scalable processes and mentoring others. Experience with Ironclad, our contract lifecycle management (CLM) platform, is strongly preferred.

Success Profile:

This role is anchored in our company’s core competencies, which reflect the mindsets and behaviors that define success at InvoiceCloud. In this role, you’ll demonstrate an advanced level of proficiency in each competency. Below is how each one translates into meaningful impact and outcomes for this position.

Drives Efficiency:

  • Design and implement scalable contract management processes, frameworks, and tools that improve speed, consistency, and governance
  • Develop and maintain contract playbooks, templates, clause libraries, and policy documentation in partnership with our attorneys
  • Optimize contract workflows in Ironclad, partnering with Legal Operations to improve intake, approvals, visibility, tracking, and reporting
  • Identify bottlenecks across contract review and approval workflows and implement solutions that reduce cycle times
  • Guide the team in using AI tools to streamline contract review, identify risks, and support decision-making, with appropriate human oversight and validation of outputs
  • Evaluate new AI-enabled legal technology and automation opportunities to strengthen contract lifecycle management

Takes Ownership:

  • Manage the intake, preparation, and administration of complex, high-value, or strategic agreements, including customer SaaS agreements, public-sector contracts, vendor and partner agreements, data processing agreements, and nondisclosure agreements (NDAs)
  • Support attorneys in contract review and negotiations by preparing first-pass reviews and redlines against our playbooks, flagging deviations and risks, and tracking open issues to resolution
  • Serve as a trusted resource for cross-functional partners on contract processes, timelines, and governance, and coordinate input from Finance, Security, Compliance, and other teams on contract issues
  • Oversee post-signature contract management, including obligations, renewals, amendments, and accurate, audit-ready records
  • Maintain high standards of confidentiality, integrity, and professionalism when handling sensitive legal and commercial information

Results-Driven:

  • Keep agreements moving through review, approval, and execution within agreed timelines, helping balance deal velocity with sound risk management
  • Partner with legal leadership to document contract standards, approved fallback positions, and escalation thresholds
  • Identify emerging contract risks and trends, bring them to our attorneys with recommended mitigation, and keep contracting aligned with internal policies, regulatory requirements, and audit standards
  • Track and report on key contract metrics, such as cycle time, volume, and deviations from standard terms, and use those insights to drive continuous improvement
  • Lead cross-functional initiatives with Legal, Sales, Procurement, Finance, Security, Compliance, and Customer Success to improve contract governance and operational workflows
  • Mentor contract specialists and managers on contract review and best practices

Requirements:

  • 8+ years of experience in contract management, legal operations, procurement, or a related field, ideally in SaaS, fintech, payments, or another regulated industry
  • Bachelor’s degree in legal studies, business, or a related field
  • Extensive experience reviewing, redlining, and managing complex commercial agreements, including SaaS, vendor, partnership, data processing, and nondisclosure agreements, and supporting attorneys through negotiations
  • Working knowledge of data privacy, information security, and payments-related contract terms (e.g., GDPR, U.S. state privacy laws, PCI DSS, and SOC 2 requirements)
  • Experience with CLM platforms and workflow automation.
  • Hands-on experience using AI contract review tools and validating their outputs
  • Track record of building playbooks, templates, and scalable contract processes
  • Strong analytical, problem-solving, and risk assessment skills
  • Excellent communication and stakeholder management skills at all levels
  • High attention to detail and the ability to manage competing priorities

Preferred Qualifications:

  • Hands-on experience with Ironclad (strongly preferred), including building or managing workflows, templates, clause libraries, and reports
  • JD, paralegal certification, or advanced contract management certification (e.g., NCMA CCCM or CPCM, or World Commerce & Contracting certification)
  • Experience supporting contracts with public-sector entities, utilities, or insurance carriers, including reviewing RFP and government procurement terms
  • Experience mentoring or leading contract professionals

Benefits:

  • Medical, dental, vision, life & disability insurance
  • 401(k) plan with company match
  • Flexible Time Off (FTO), wellbeing days, paid holidays, and summer Fridays
  • Mental health resources
  • Paid parental leave & backup care
  • Tuition reimbursement
  • Employee Resource Groups (ERGs)
