Key Responsibilities:
- Commercial Contracts: Draft, review, and negotiate a wide variety of commercial agreements, including supply, manufacturing, distribution, dealer, licensing, services, technology, marketing, and nondisclosure agreements. Serve as the primary legal point of contact for business teams on day-to-day contracting matters, and develop and maintain contract templates, negotiation playbooks, and fallback positions.
- Legal Operations Strategy: Lead the legal department’s operations strategy, including implementing, and optimizing matter and invoice management, contract lifecycle management (CLM), AI-assisted contract review, and other legal technology tools. Assess and adapt intake, review, approval, and signature workflows for increased workflow efficiency; create self-service resources and training that enable business teams to handle routine matters efficiently; and track key metrics to measure performance and drive continuous improvement.
- Mergers & Acquisitions: In partnership with the General Counsel and outside counsel, support acquisitions, divestitures, and other strategic transactions from initial evaluation through closing and integration, including coordinating due diligence, drafting and negotiating letters of intent, purchase agreements, and ancillary documents, managing outside counsel, and supporting the post-closing integration of contracts, entities, and legal processes.
- Real Estate: Manage legal matters relating to the Company’s real estate portfolio, including drafting and negotiating leases, amendments, renewals, purchase and sale agreements, and related documents for manufacturing, distribution, retail, and office facilities, in coordination with brokers, outside counsel, and internal facilities and finance teams.
- Budget Development & Management: Partner with the General Counsel in developing, monitoring, and forecasting the legal department budget. Track outside counsel spend, review invoices and accruals, and identify cost-saving opportunities through alternative fee arrangements, vendor management, and efficient resourcing.
- Entity Management: Oversee the Company’s subsidiary and entity management program, including maintaining accurate entity records, organizational charts, and minute books; managing annual reports, good standings, foreign qualifications, and registered agent relationships; preparing written consents and resolutions; and supporting entity formations, dissolutions, and restructurings.
- General Commercial Legal Advice: Provide practical, timely, and risk-calibrated legal advice to sales, marketing, operations, supply chain, finance, human resources, and product teams on a broad range of commercial and operational matters, and identify and escalate significant risks to the General Counsel.
- Proactively and cost-effectively manage outside counsel across practice areas as needed.
- Perform special projects as assigned from time to time by the General Counsel and pitch in on other legal matters as needed to best support the Company.
What You Bring:
- A J.D. from an accredited law school, with proven academic success.
- Five to seven years of commercial and transactional legal experience. A combination of law firm and in-house legal department experience is strongly preferred.
- Demonstrated expertise drafting, reviewing, and negotiating a wide variety of complex commercial agreements. Experience in a manufacturing, consumer products, automotive, or e-commerce environment is a plus.
- Hands-on experience with, or a strong interest in, mergers and acquisitions, including due diligence and drafting and negotiating transaction documents preferred.
- Experience with, or a strong interest in, commercial real estate transactions and leasing preferred.
- Experience with, or a strong interest in, legal operations and legal technology, including CLM platforms and AI-enabled contract review tools, with a track record of improving processes and driving adoption.
- Familiarity with entity management, corporate governance, and legal budget and spend management.
- Public company experience is a plus.
- Strong business acumen and the ability to quickly understand Holley’s business, focus on the aspects of a matter that matter most to the business, and proactively address potential issues.
- Strong written and verbal communication skills, including the ability to clearly and concisely articulate complex legal concepts to a non-legal audience.
- Proven success in managing multiple tasks and priorities, with the ability to thrive in a fast-paced and changing environment.
- License to practice law and in good standing under the Bar of any U.S. state, and eligible for admission or registration as in-house counsel in Tennessee.
Bonus Points For:
- Curious: You ask good questions, dig in to understand how the business works, and continually look for better ways of doing things, including new tools and technologies.
- Team Player: You collaborate openly, share knowledge, and take pride in the success of the team as a whole.
- Business Partner: You view legal as an enabler of the business, deliver practical solutions rather than just identifying issues, and build trusted relationships with stakeholders at all levels.
- Roll-Up-Your-Sleeves Mentality: You are comfortable with a small-team environment, take ownership, and willingly pitch in wherever the organization needs help, regardless of the task.
