Original job description
Gallo Mechanical is a New Orleans-based, private equity-backed mechanical contractor growing both organically and through acquisition. The M&A Integration Manager is the finance and accounting professional on each deal: pre-close, supporting the CFO, FP&A and corporate development on financial diligence; post-close, working with the Director of Accounting to bring the acquired company onto Gallo’s books, systems and controls. The role covers all of Gallo, including GML (construction) and GMS (service), and is hands-on, from WIP schedules to a seller’s bookkeeper. It is also part of a broader rotational development program for finance and accounting talent at Gallo, with a path into other roles across the company.
Responsibilities Include
Diligence (pre-close)
- Run the financial data request list. Build the diligence schedules: trial balance tie-outs, revenue and margin by job, WIP and over/under billing, A/R aging, fixed assets and fleet, labor cost, SG&A run rate. Restate seller financials onto Gallo’s basis (POC, add-backs, burden). Support the working capital peg and pro forma P&L, and prepare analysis for diligence updates to the CFO, CEO and sponsor.
Integration (post-close)
- Own the finance and accounting workstream from signing through the first clean month-end on Gallo’s platform: bank accounts, chart of accounts mapping, open jobs into the ERP, billing, A/P, payroll and expense processes. Prepare the closing balance sheet and working capital true-up. Coordinate with HR, IT and operations on payroll rollover, systems access, fleet and purchasing. On site at the acquired location as needed in the first 60 to 90 days.
Between deals
- Keep the request list, schedule templates and integration checklist current. Support FP&A on acquired branches’ first budget and monthly reporting, and help corporate development with quick-turn reviews of inbound opportunities
Required
- • Bachelor’s degree in accounting or finance and 5 to 8 years of progressive experience, with at least two of those in public accounting (audit or transaction advisory), FP&A, or a controllership role.
- • Solid accounting fundamentals: you can read a trial balance, tie a balance sheet, build a working capital schedule and explain a cash-to-accrual difference without help.
- • Hands-on experience with at least one of the following: buy-side financial diligence or quality of earnings work, a post-acquisition accounting integration, or a system conversion or ERP implementation.
- • Advanced Excel, including building multi-tab schedules from raw data exports and reconciling across sources. Comfortable working from messy seller data.
- • Writes clearly. Can turn a schedule into a half-page of observations that a CFO or board member can act on.
- • Works well with people who are not finance people: owners who just sold their company, office managers learning a new system, field leaders who want to know what changes for their techs.
Preferred
- • CPA or CPA candidate.
- • Construction or specialty-contractor experience, particularly percentage-of-completion revenue recognition, WIP reporting and job cost accounting.
- • Experience with Viewpoint Vista, Sage or a comparable construction ERP.
- • Prior work in a private equity-backed company or with a PE sponsor’s reporting requirements.
- • Experience with a mix of project and recurring service revenue.
